Paysera Bulgaria JSC (PAY) Paysera Bulgaria appointed a regular General Meeting of Shareholders on 27 June 2025 at 10:00 am in Sofia at 84 Ami Boue St., fl. 4, under the following agenda: - Report of the managing bodies on the company's activity in 2024 - Adoption of the 2024 individual and consolidated annual financial reports of the company - Reports of the registered auditor on the 2024 audit - Release from liability of the members of the managing bodies for their activity in 2024 - Election of a registered auditor for 2025 - Changes within the managing bodies of the company Draft resolution: Releasing Tsvetomir Doskov from the position of a Board member and electing new members of the Board of Directors within its current mandate - Financial result allocation decision Draft resolution: Decision for covering the 2023 loss of BGN 25,414.75 by funds of the prior-period retained profit, and the 2024 loss of BGN 97,375.40 to be set aside as an uncovered loss of the company - Determination of the remuneration to the members of the managing bodies - Determination of the guarantee for the management of the members of the managing bodies - Approval of a bonus to the members of the Board of Directors (excluding the newly elected ones) in connection with the successfully conducted IPO - Approval of the establishment of a joint-stock company to obtain a license as a provider of crowdfunding services, and authorising the Board of Directors to perform all necessary legal and factual steps - Approval of a decision for the buyback of treasury shares under the following conditions: 1) Maximum amount of bought-back shares: Up to 3% of the equity capital 2) Term of the buyback: Until 27 June 2028 3) Minimum buyback price per share: Not lower than the face value per share 4) Maximum buyback price per share: BGN 16 5) Authorisation of the Board of Directors to define the specifics of the buyback procedure and select the investment intermediary in charge of the buyback procedure. - In the absence of a quorum, the GMS will be held on 15 July 2025 at 10:00 am - same place and agenda. The voting right will be entitled to all shareholders registered with the central securities register fourteen (14) days before the GMS, i.e. as of 13 June 2025 (Record Date). The final date for transacting shares of this company on the Exchange, for shareholders to be entitled to exercise their voting rights, will be 11 June 2025 (Ex Date: 12 June 2025).
