| In the last few years, Neochim has had difficulty connecting with a modern fertilizer manufacturer. Since the end of 2022, individual installations at the enterprise have periodically broken down and stopped working. That is why the decision of its far more successful competitor Agropolychim to enter the Dimitrovgrad plant as a shareholder through its subsidiary Rhea Ventures seems strange at first glance. However, the company is convinced that Neochim has its place in the market, and it can help with technological know-how, as well as solutions for reducing carbon emissions, which will have an increasing weight in the cost of production. This is the reason for the agreement concluded last fall with the Czech Agrofert, according to which Rhea Ventures acquires its Bulgarian company Feboran, which in turn holds 20.3% of the shares in Neochim. The deal was approved by the Commission for the Protection of Competition (CPC) at the end of December and is being finalized this week. "Feboran" is headed by Dimitar Leksin, who is the financial director and board member of "Agropolychim" and executive director of "Reya Ventures". Together with the minority stake acquired in the meantime on the Bulgarian Stock Exchange, "Reya Ventures"'s total stake in "Neochim" reaches 24.03%. "Feboran" became the property of Agrofert in mid-2023, when the Czech company acquired the nitrogen business of the Austrian chemical concern Borealis. Along with production assets, a sales and distribution network, the package also included the Bulgarian company. A few months later, they received indications from "Agropolychim" that Agrofert was interested in selling "Feboran" (and its stake in "Neochim" accordingly). After the approval of the deal by the CPC and the expiration of the appeal period, the sale was practically completed immediately. The modernization of the Dimitrovgrad plant will require significant investments - in the order of several tens of millions of euros, according to the new shareholder. And this will mean that the company will have to stop paying dividends for several years. However, Agropolychim can help on the path of technological renewal. The plant in Devnya has been practically transformed after privatization, with over 600 million leva invested in it so far. Back in 2005, catalysts were introduced in the nitric acid plant, which significantly reduce emissions of nitrous oxide - a gas with a very high greenhouse potential. The company is currently working on an ambitious project to double the capacity of the nitric acid plant by building a new line. Agropolychim may be useful in solving another challenge - the tightening requirements for carbon emissions. Neochim continues to use natural gas to produce ammonia - one of the intermediate products for the production of ammonium nitrate, but over time, free allowances under the European Emissions Trading Scheme are gradually decreasing. At the same time, the Renewable Energy Directive (RED III) will come into force in 2030, requiring at least 42% of raw materials to be of inorganic origin - the so-called green ammonia. However, since it is 2-3 times more expensive than traditional "grey" ammonia and there is no way to compensate for it along the supply chain to the final product, the expectations are that this requirement will be relaxed and the use of "blue" ammonia will be allowed - it is also made from natural gas, but carbon emissions are captured and stored. Years ago, Agropolychim began importing ammonia instead of producing it itself from natural gas, for which it built a terminal at the port in Devnya. More recently, it has turned to "blue" ammonia, which allows it to produce ammonium nitrate with a reduced carbon footprint and remain competitive in the market. Now, ammonia distribution is emerging as a new business segment that the company will develop in parallel with its main activity. The company plans to buy 100 railway tankers for transporting ammonia, which should arrive from the fall of this year to the spring of 2026. It is also investing in improving the internal railway infrastructure, which will increase its capacity for handling rail freight. Whether the Dimitrovgrad plant will take advantage of these opportunities and completely switch off natural gas again depends on the company's management. In a market like the Bulgarian one, where the two main players have a combined 70-80% market share, the exit of one will create a market vacuum. | The Agropolychim company recently became a shareholder in the other fertilizer plant in the country - Dimitrovgrad-based Neochim, currently owning 24.03% through its subsidiary Rhea Ventures. The two companies hold 70-80% of the market in the country. The situation is expected to improve at the beginning of this year, as the increase in fertilizer prices on the world market will give an advantage to local products. After record grain prices at the beginning of the war in Ukraine in 2023, the market calmed down, and although this reduced farmers' incomes and profits, the sector as a whole reported a good year. However, farmers faced difficulties in 2024. This, in turn, led to lower fertilizer prices in the country. The decrease in international prices, especially in the largest fertilizer markets such as India and China, also had an impact, as local prices follow international market trends. According to preliminary data, in 2024 Agropolychim's revenues from the sale of its own production decreased by 6% to 686.4 million leva, while in quantitative terms they increased by 11% to 963.6 thousand tons. Neochim's revenues from the sale of its production for the first nine months of 2024 also decreased by nearly 19%, reaching 176.3 million leva. Unlike Neochim, which produces only nitrogen fertilizers, Agropolychim has three groups of fertilizer products - nitrogen, phosphorus and combined. It was the phosphorus and combined products that allowed the Devno plant to successfully finish the year, although the contraction in their consumption on the local market was even greater than that of nitrogen. Agropolychim is currently working on a project to double the capacity of the nitric acid plant by building a new line. It is also expanding its product range, with the portfolio increasing from 3 to 14 main products over the past 10 years. In addition, the most active season for the consumption of nitrogen products is now beginning, with the company expecting demand to significantly exceed supply, as most farmers wait until the last possible moment to purchase. | According to current data from the Bulgarian Enterprise Information System (BEIS), the leading Bulgarian enterprises in the "Production of Basic Chemicals" sector report the following revenues for the period (20222024).
Agropolychim AD - Devnya is a leader in the chemical industry in Bulgaria, showing a decline in revenues for 2024 of BGN 844,418 thousand compared to previous years -2023: BGN 854,374 thousand, and in 2022 - BGN 1,255,725 thousand.
Solvay Sodi AD - Devnya records in 2024 revenues of BGN 509,400 thousand, which is a decline compared to BGN 734,347 thousand. 2023
Neochim AD Dimitrovgrad reported 279,487 thousand BGN in revenue in 2-24, which is a decrease of more than 50% compared to 2022.
Currently, there is no data on the results of Plaskolight Bulgaria OOD Stara Zagora for 2024, which reported revenues of 97,265 thousand BGN in 2023.
Air Liquid Bulgaria EOOD Pirdop recorded a small decrease in 2024 (87,279 thousand BGN) compared to 2023 and 2022, but the company remains stable with revenues over 85 million.
Ekofol AD ?? Targovishte has not yet published data for 2024, but in 2023 it reported revenues of 55,634 thousand BGN.
Kaskada OOD Tsaratsovo continues to show stability in revenues in 2024 (67,056 thousand BGN)
Kontinvest OOD Sofia shows a gradual increase in revenues in 2024 to 43,441 thousand BGN, which is a positive signal for successful adaptation to changing market conditions.
Alifos Bulgaria EAD Devnya reports revenues in 2024 in the amount of 38,284 thousand BGN.
In general, enterprises in the chemical and agricultural industries show difficulties that may be related to market changes and global economic factors, while industries such as gas technologies and industrial gas production demonstrate relative stability and growth.

The traditional leader in this indicator for the last 3 years, Sopharma Trading AD, reports revenues of BGN 1.4 billion in 2024. With the greatest growth in revenues compared to previous reporting periods is Trace Group Hold AD - Sofia, which from 24th place in 2022, 7th place in 2023, rises to 3rd place in 2024 with revenues of BGN 580 million.
