 | SOFIX ended the year down just over 5%
The indices of the Bulgarian Stock Exchange (BSE) ended the last session of the year differently. The turnover from trading in Bulgarian shares amounted to BGN 483.4 thousand, and from trading in international shares - BGN 32 thousand. The main SOFIX index closed down 0.23% to 601.49 points. Compared to the end of last week, the index erased 0.24%. For the year, the decrease is 5.37%. The broader BGBX40 index rose 0.19% in the session to 139.28 points. Compared to the previous week, the index increased by 0.32%, and for the year it reports a little over 3% decline. The biggest loser from SOFIX in the session is "Bulgaria Real Estate Fund", which recorded a drop of 3.85%. Next is "Neokhim" with a decrease of 2.86% and "M+C Hidravlik" with 1.65%. At the other pole are the shares of "Chimimport", which rose in price by 2.33%, and "Holding Varna" with a growth of 0.93%. The top two decliners in the BGBX40 were the same, followed by Gradus, down 2.03%. At the same time, the most profitable share is "Stara planina hold" with a growth of 6.29%, followed by "Eleven Capital" with 4.95%. "Eurohold Bulgaria" is the most liquid share with 61 transactions, as well as the leader in terms of turnover - with almost BGN 226.2 thousand, which is almost half of the total turnover of Bulgarian shares in the session. | | Neochim ends the last quarter of 2022 with strong revenue and profit growth
"Neochim" AD reported sales of BGN 646.628 million at the end of December 2022 compared to BGN 358.076 million at the end of December 2021, which is 80.58% more on an annual basis. The majority of sales are sales of produce (BGN 626.153 million at the end of the last quarter of 2022 compared to BGN 350.402 million at the end of the last quarter of 2021). The company's total expenses at the end of the last quarter of 2022 reached BGN 567.252 million compared to BGN 305.917 million a year earlier, or 85.42% more on an annual basis. The main share of them - 84.26% - is occupied by the costs of materials, which amount to BGN 477.972 million for the reporting period compared to BGN 232.319 million a year earlier. | | Neochim also restored production in the ammonium nitrate and nitric acid workshops
Production has been restored in the ammonium nitrate and nitric acid workshops at Neochim. Production in the two workshops was stopped in mid-January due to a breakdown in a third workshop - the one for ammonia. Activity in it was restored on January 22. Last year was a very strong one for Neochim despite the longer planned downtime and accidents since the fall. The company's individual report showed strong growth in revenue and profit for the entire year. However, the rapid growth of costs due to energy-intensive production, the slowdown in sales in the second half of the year and the stagnation of profit for the same period put pressure on the company. Fertilizer prices are falling due to cheaper gas and other raw materials for production, and this will limit the company's ability to maintain the pace of the past two years. As a result of the inspection under item 13 of Appendix 1 (Methodology for calculating SOFIX), it was established that the weight of the economic group, including the issue of shares of Sopharma AD-Sofia and Sopharma Trading AD-Sofia, does not exceed the requirement of 20% as of 01.03 .2023, accordingly, it is not necessary to exclude one of the issues from the ranking.
There is a circumstance according to item 5 of Appendix No. 1 (Methodology for calculating SOFIX) that two issues occupy the same place in the ranking. In this case, the issues with the same rank (rank in total: 61 points) are Gradus AD-Stara Zagora and Telelink Business Services Group AD-Sofia. In accordance with the above-mentioned item 5, priority is given to the emission with a greater market value of the free-float, namely: Gradus AD-Stara Zagora.
Based on the above, on the basis of Art. 15, item 4 of the BSE Index Calculation Rules in connection with item 17 of Appendix 1 (Methodology for calculating SOFIX), the Board of Directors excludes the following four share issues from the basis of the SOFIX index:

| | For most public companies on the Bulgarian Stock Exchange, 2022 turned out to be a record year in terms of revenues and profits. The yield that dividends bring looks quite attractive against the background of interest rates on deposits, which are stuck at levels around 0-1%. For comparison, dividends in some cases bring 10-12% income. Of course, we are talking about a different level of security here and there is no guarantee like with deposits, but there is also the potential for capital gain from the appreciation of shares. With the highest profitability based on the planned dividend is the fertilizer plant "Neokhim" - for the second year in a row at BGN 5 per share, which at the current price of BGN 39 per share makes an income of over 12%. Last year, the plant from Dimitrovgrad reported record results: a profit of almost BGN 80 million, and sales revenue was over BGN 262 million. The pharmaceutical group "Sopharma" with the largest distribution amount is returning with a dividend after two year hiatus. The latter became necessary because of the lockdowns and the subsequent war in Ukraine. This brought expectations of a tough economic environment and caused the company to decide not to distribute dividends in order to maintain a stable financial position. So far, however, forecasts of a recession are not justified, which most likely weighed on the dividend decision. The total amount of profit for distribution is over BGN 39 million, to which funds from reserves and undistributed profits will be added. With this dividend amount, "Sopharma" also provides one of the best dividend yields - over 10% at a price of BGN 5.88 as of May 16. In June, there is also a general meeting of warrant holders, who must decide whether and how to exercise them at a price of BGN 4.13 for almost 45 million new shares. At the same time, however, the largest company in terms of revenue in the holding - "Sopharma Trading" - will not distribute a dividend, which is happening for the third year in a row. The "Stara planina hold" group will not betray its shareholders again. The former privatization fund has not missed a year with a dividend. Its main companies are also regular. Now the holding plans 31 cents per share, increasing the amount compared to the previous year. Its subsidiaries - "Hydraulic systems and elements" and "M+C hydraulics" will also distribute part of their profits for another year. This will happen with "Elhim Iskra" as well as "Bulgarian Rose Karlovo". "Odessos Ship Repair Plant" is quite regular in distributing the profit. The company's shareholders have already decided to distribute BGN 12.80 per share from the financial result for 2022. Individuals will receive BGN 12.16 each, as there is a 5% withholding tax. For the last 10 years, the company has distributed a dividend for each of them, with the exception of 2014, and the total amount is a little over BGN 26 million. The capitalization of the company is BGN 136 million, which is up by 120% in one year. The problem is that the company has very low liquidity, and the main part of its freely traded share is concentrated in companies, pension and mutual funds related to companies and the Chemimport group. So far, 3 of the special purpose companies have announced that they will distribute or that they are planning to distribute one - "Advance Terrafund", which is the largest land fund has provided a dividend yield of almost 7%. Although more modest, the "Bulgaria Real Estate Fund" and "Sopharma Imoti" will also donate their shareholders. By law, special purpose vehicles must distribute at least 90% of profits after revaluations. The case of "Alcomet" is interesting - after a three-year hiatus, the company will once again pay a dividend of almost 80 cents, which makes a yield of nearly 9%. And this is only a quarter of its profit for last year, which was over BGN 56 million. Two of the companies distribute their dividends twice a year - "Corado" and "Sirma Group Holding". | | The Austrian company Borealis, which 5 years ago became a minority shareholder in "Neochim" by acquiring "Feboran", is selling its nitrogen business to the Czech Agrofert, which is owned by the until recently prime minister of the country Andrej Babis. The deal concerns the production of fertilizers, melamine and technical nitrogen products and is estimated at 810 million euros. The package includes production assets in Austria, Germany and France, as well as a wide commercial and distribution network, including the Bulgarian Feboran, which holds 20.3% of the fertilizer plant in Dimitrovgrad. Borealis, which is owned by Austria's OMV (75%) and Abu Dhabi's state oil company ADNOC (25%), received a binding offer from Agrofert a year ago, and on July 5 the deal was now finalised. Based in the Czech Republic, Agrofert has a 30-year history of working in various industries in Central Europe, from chemical and fertilizer production, through agriculture to the food industry. The group includes over 200 companies with about 31,000 employees, and its consolidated sales for 2022 are 10 billion euros. For comparison - the turnover of Borealis is 2.1 billion euros. Agrofert was directly controlled by Andrej Babis until 2014, when he became the Finance Minister of the Czech Republic. He remained its owner until 2017, when he was forced by conflict-of-interest rules to transfer ownership to two family trusts, but control remained with his family representatives and lawyers. Agrofert has plants for nitrogen fertilizers in Germany, the Czech Republic and Slovakia. Borealis acquired the Bulgarian "Feboran" in 2017, thereby becoming a minority shareholder in the fertilizer plant "Neokhim". Its share will now practically be taken over by the new owner Agrofert. The main activity of "Feboran" is investment and is related to the participation in "Neokhim". For 2021, the company's revenues increased more than three times to BGN 10.4 million, almost the entire amount was reported as profit. "Neochim" in 2022 also sharply increased its sales, which reached BGN 647 million, the profit jumped by 67% to nearly BGN 80 million. | | "Neochim" with sales of less than BGN 40 million in the second quarter The fertilizer producer "Neochim" realized sales of less than BGN 40 million in the second quarter. For the April-June period, in which the enterprise was almost inactive (only in the first half of April, after which the workshops were closed due to an accident and subsequently for planned repairs), the company also accumulated a loss of almost BGN 13 million. With this, the loss for the first half of the year reaches BGN 22.831 million, after in the first quarter it was over BGN 9.8 million. The company drew on accumulated inventories to satisfy its customers last quarter, as they decreased by almost BGN 24 million for the period against accumulated inventories of almost BGN 26.7 million a year earlier. Neochim's sales for the half year amounted to BGN 147.624 million compared to BGN 403.364 million for the first half of 2022 and BGN 108.711 million for the first quarter. The decrease compared to the previous year is 63.4%. For the quarter alone, sales amounted to BGN 38,913 million, shrinking by over 64% compared to the previous quarter and by 71% on an annual basis. | | The plastic bag recycling plant next to Elin Pelin will have a new owner almost five years after its establishment. The deal is curious because it is selling a unique enterprise for Bulgaria and the region in the promising niche of waste processing. The seller is the owner of the largest oil producer in Bulgaria "Oliva", for whom this was a side business. And the buyer is the Austrian chemical company Borealis, in which OMV holds the largest stake, and is known in Bulgaria for its 20 percent stake in the "Neokhim" fertilizer plant, which it sold this summer. The subject of the deal is Integra Plastics, which sorts otherwise difficult-to-process thin plastic packaging and processes it into granules for reuse. And the final is expected in the first quarter of 2024. Borealis acquires 100% of the recycling plant of "Integra Plastics" in Elin Pelin. The sale is subject to approval by the Bulgarian Competition Commission, and formal permission must also be obtained from regulators in Serbia and Macedonia, where the buyer has sales. These procedures are expected to be completed by February next year and then the ownership will change. "Integra Plastics" is one of the most technologically advanced companies in the country for mechanical recycling of films from household waste - mainly plastic bags and packaging. The main shareholder in "Integra Plastics" with a 92.67% share is Angel Georgiev's "Betainvest", which is the owner of the grain and feed wholesaler "Buildcom" and the oil producer "Oliva" with consolidated revenues for 2022 of over BGN 3 billion and a net profit of BGN 210 million. Cypriot Vallenova, represented by Greek citizen Konstantinos Ziogas, holds the remaining 7.33%. At the last general meeting of "Integra Plastics" from the end of November, Ziogas was released from the board of directors of the company. The enterprise near Elin Pelin was opened in the summer of 2019, but the real work in it started in the beginning of 2020. Then the management team explained that the decision to enter this business came after China's refusal to accept plastic waste from Europe , which opens up a large market niche. The investment in "Integra Plastics" is EUR 40 million. Financing is provided through own funds and bank loans. The base is located on an area of nearly 35,000 square meters.
